Munich RE has been continuously growing its “credit business” over the last decade with significant further growth ambition for the next years. We are providing financial institutions with insurance credit mitigation/ regulatory capital relief solutions. We are organized in two lines of business: (i) Global Credit Solutions writes pari-passu coverages on single or portfolio of risks across the whole credit spectrum from short-term trade finance to long-term project/ infrastructure finance and (ii) Structured Portfolio Solutions that writes structured coverages such as synthetic securitization / Significant Risk Transfer (SRT) solutions.
In order to achieve Munich Re’s growth ambition in this area, we are requiring further experts with a credit (capital market, lending and/or insurance) background from diverse fields such as Finance, Capital Markets, Mathematics, Engineering as well as Legal and Business Documentation.
For the specific position, we are looking for a further experienced lawyer based in Munich who has significant experience as a transaction lawyer in capital markets, structured finance, and ideally derivatives. This lawyer will be part of a “product and business development team” that will be serving all of the above businesses in complex transactions requiring legal structuring expertise, expand our coverages to new banking products or structures and also to new markets (which require local banking and insurance regulatory work).
YOUR JOB
- Expert and coordinator for legal, regulatory, accounting and tax topics, in particular where new financing and/or risk transfer structures are being developed or existing ones need to be adapted to new or evolving jurisdictions.
- Supporting concrete (complex) transactions where significant expertise is needed from a legal perspective; incl. drafting and/or reviewing complex legal documentation in English
- Coordination of external and internal subject matter experts in fields such as law, tax and/or accounting, thereby ensuring legal, regulatory, accounting and/or tax compliance where required
- Specifically, supporting our growth by supporting the development of structures with the above responsibilities in the following areas: (i) counterparty risk in derivatives; (ii) structured portfolios (i.e., securitization structures), (iii) new products such as fund finance or asset-backed finance, (iv) off-balance sheet funding solutions with credit protection and (v) expansion to new markets such as Middle East, India or Singapore by licensing extension or via fronting arrangements with local insurers
- Close collaboration with other lawyers in the credit team.
YOUR PROFILE
- Above-average university law degree with at least 10 years of relevant professional experience with the relevant UK and/or US law employed in capital and credit markets
- At least five years' professional experience as a transactional lawyer in at least one of the following areas (i) structured portfolio finance (e.g., synthetic/true sale ABS/CLO), (ii) structured derivatives and/or repo/securities financing (ISDA, GMRA, GMSLA,...) (iii) SPV/fund finance, and/or (iv) insurance risk transfer for bank finance products
- Knowledge of structured finance/ capital market products, derivatives and/or credit insurance/ guarantees, ideally acquired at a law firm, bank or insurance/investment company
- Ideally good understanding of the requirements of Munich Re/GLISE as re-(insurers) and banks/ financial institutions with respect to legal, regulatory, tax and accounting/ consolidation issues
- Affinity for working autonomously, conceptual and implementation strengths in conjunction with exceptional analytical skills
- High level of social competence, confident and personable manner, and good negotiating skills
- Experience with project management, ability to manage complex projects confidently
- Team player with good team leadership competences and the ability to give functional guidance to colleagues
- A high level of commitment and a business-/solution-oriented approach
- Willingness to make regular trips particularly to the USA but also Europe/UK
- Fluent spoken and written business & legal English
